Monica Emilienburg Layfield represents startups through all stages of their growth process, including in venture capital transactions.  Monica serves as outside counsel to startup and emerging growth companies, advising her clients on mergers and acquisitions, development and implementation of capital raising plans, debt financing, employment and equity compensation, contract related issues, strategic and operational matters, corporate governance, day-to day operations, and risk management.  Monica provides guidance to businesses regarding the legal aspects of due diligence in corporate and real estate transactions and also counsels start-ups in areas related to entity formation, contractual matters and managing other legal concerns.

Monica’s diverse practice encompasses a breadth of corporate law practice areas, including the purchase, sale and development of commercial and residential real estate; the purchase and sale of businesses, assets and equity ownership rights; structuring and documentation of private financing transactions; and preparation of intellectual property filings, including trademark applications(state, federal and international), and related matters, including responses to USTPO office actions, statement of use filings and section 8 and 15 declarations.

Besides her practice, Monica regularly lectures to local nonprofits that seek advice for their daily operations. Monica is a Leadership Austin Emerge Alum and serves on the Board of Directors of the Girls Empowerment Network (GEN), a local nonprofit with the mission of fostering healthy self-esteem in girls by engaging them to find their voice and recognize their power.  Planned Parenthood of Greater Texas and SCORE Austin also count Monica as a frequent volunteer for their charitable work.
